These Terms & Conditions (“Terms”) form a legally binding agreement between Andre Ross d/b/a Mdigic, with its principal office at 3631 Cape Cod Dr, Las Vegas, NV 89122 USA (“Mdigic,” “we,” “us,” or “our”) and you—a visitor, shopper, or other user of our website, mobile pages, or any service that links to these Terms (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Notice, Shipping Policy, Return & Refund Policy, and Cookie Policy. If you do not agree, discontinue use immediately.

1 Our Services

The Services are directed to customers located in the continental United States. You are responsible for obeying local laws if you choose to access the Services from outside our shipping area.

2 Intellectual-Property Rights

All code, text, graphics, logos, and other content (collectively, “Content”) and our trademarks and logos (“Marks”) are owned by or licensed to Mdigic and protected by U.S. and international IP laws. We grant you a revocable, non-transferable, non-exclusive licence to access the Services and to download or print portions of the Content solely for personal, non-commercial use. Any other use—copying, selling, reverse-engineering—requires our prior written consent.

3 User Representations

By using the Services, you affirm that you (a) are at least 18 years old or the age of majority in your jurisdiction; (b) will supply accurate information; (c) will not use automated bots to access the Services; and (d) will comply with all applicable laws.

4 Prohibited Activities

You may not:

• Mine or scrape data without permission.
• Upload viruses or malicious code.
• Violate anyone’s intellectual-property rights.
• Use the Services to harass, defraud, or harm others.
• Circumvent security features or overload our servers.
  A fuller list appears in the appendix to these Terms and is incorporated herein.

5 User-Generated Content & Licence

If the Services allow you to submit reviews, comments, or other material (“Contributions”), you (a) retain ownership of such Contributions but grant Mdigic an irrevocable, worldwide, royalty-free licence to host, display, and distribute them, and (b) warrant that your Contributions do not infringe any third-party rights or applicable law.

6 Service Management

We may (but are not obliged to) monitor the Services for compliance, remove or disable content, and take any action we deem appropriate to protect users or enforce these Terms.

7 Term & Termination

These Terms remain in effect while you use the Services. We may suspend or terminate access at any time without notice if you breach these Terms or applicable law.

8 Modifications & Interruptions

We may update, suspend, or discontinue any part of the Services without liability. Planned maintenance or unexpected outages may occur. We are not responsible for losses arising from downtime.

9 Governing Law & Venue

These Terms and any dispute arising hereunder are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law rules. Subject to Section 10, the state or federal courts located in Clark County, Nevada have exclusive jurisdiction.

10 Dispute Resolution

Before filing suit, you and Mdigic agree to attempt informal negotiations for 60 days. If unresolved, disputes will be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat of arbitration is Las Vegas, Nevada, and one (1) arbitrator will preside. Class-action waivers apply: proceedings are limited to the parties individually.

11 Corrections

Information on the Services may contain typographical errors or inaccuracies. We reserve the right to correct and update such information at any time.

12 Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDIGIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13 Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, MDIGIC’S TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED (A) US $100 OR (B) THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE IN QUESTION, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES.

14 Indemnification

You agree to defend and indemnify Mdigic, its officers, and employees against any third-party claims arising from your breach of these Terms or your misuse of the Services.

15 User Data

We maintain backups but cannot guarantee against data loss. You are responsible for keeping copies of information you submit.

16 Electronic Communications & Signatures

You consent to receive notices electronically and agree that electronic signatures have the same legal effect as handwritten ones.

17 Miscellaneous

These Terms, together with our posted policies, constitute the entire agreement between you and us. If any provision is found unenforceable, the remainder still applies. Our failure to enforce a right is not a waiver.
